1. Who this is between

These terms are between Ali Al Dalaty, a sole trader trading as Tail Lift Media, of Unit 9, Edwardson Road, Durham DH7 8RL ("we"), and the firm named above ("you"). You're taking this service for your removal business, not as a private individual.

2. What we do

We run Facebook and Instagram ads for your firm. We:

Anything else, such as Google ads or a website, needs a separate written agreement.

3. What we don't promise

We don't promise any number of enquiries, any cost per enquiry, any booked jobs or any profit. An enquiry isn't a booked job. Meta decides whether an ad runs and who sees it, and it can reject an ad or restrict an account.

4. The fee and your ad spend

Our fee is [£ A MONTH]. We invoice monthly in advance, and each invoice is due within 7 days. The fee is the same whether or not enquiries come. We're not VAT registered, so no VAT is added.

Your ad spend is separate. You set the budget, and Meta charges you directly. We won't raise your budget without your written OK.

We'll give you 30 days' written notice of any change to our fee. You can end this agreement before a new fee starts. Interest may be due on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Your accounts

You own your Meta business portfolio, ad account, Page, Instagram account, forms, website and phone numbers. They stay in your firm's name.

We work through partner access only. We won't ask for your passwords. You can remove our access at any time. When this agreement ends, the ad account and its history stay with you.

We'll never hold back your accounts, access or files because of an unpaid invoice.

6. Your authority

You authorise us to run ads for you on Meta and to accept Meta's ad and lead terms on your behalf, and you confirm you can.

Meta can hold an agency responsible for its advertiser's breaches. So you'll cover our reasonable losses if Meta or anyone else makes a claim against us because of information, pictures or instructions you gave us. This doesn't cover our own mistakes.

7. Approving ads

You approve prices, offers and claims before an ad runs. A reply by email or message is enough. Tell us within 2 working days if a price, offer or other fact in an ad changes, and we'll update or pause that ad.

Anything you give us must be true, and you must have the right to use it. That includes reviews, and photos with people in them. Both of us can be responsible to customers for a misleading ad, so we can refuse to run anything we think is misleading or breaks Meta's rules.

8. Who owns the work

Once you've paid for a month, we transfer to you whatever rights we hold in the ads, wording and pictures we made for you that month. We'll tell you which were made with AI tools. You keep everything you gave us. We may keep copies for our records.

9. How we work

We use AI tools for much of the day-to-day work, such as drafting ads, wording and reports. The owner sets the rules and answers for it. A person posts and changes your ads, using Meta's own tools. AI tools only get your enquiries' personal details if they're listed in Schedule 1.

10. Our connection to other removal firms

The owner of Tail Lift Media also owns and runs a removal firm in the North East that also takes long-distance work across Britain. He also runs ads for one other North East removal firm. Those firms may compete with you on long-distance work and may advertise to the same people.

We don't take clients based in County Durham, Tyne and Wear, Northumberland or Teesside. This agreement gives you no exclusive area, and it doesn't limit where you can advertise or work.

11. Your information

We keep your prices, ad spend, keywords, targeting, results and customer details confidential. We won't pass them to our removal firm or any other client. We won't use them for our removal firm's pricing, ads or research, or to help another client.

The same person runs Tail Lift Media and that removal firm, so this is a promise about how he uses your information. We also keep it in accounts and files separate from the removal firm's. You can ask us to show you how at any time.

You keep our working methods confidential. Neither of us is stopped from sharing what the law requires or what's already public.

12. Telling us what you booked

Each week you tell us how many enquiries you booked, using counts or lead references, not customers' names or addresses. That's how the money moves to the ads that bring you work. If you don't, the weekly report can only show enquiries.

13. Using your results

We won't name you or use your results in a case study, on our website or in our ads unless you've signed a separate yes. You can withdraw it at any time.

14. Enquiries and personal data

You're the controller of the enquiries your ads bring in. We're your processor, and Schedule 1 sets out what that means. We're the controller only of our own records about you, such as contact details and invoices.

We'll never sell your enquiries, use them for anyone but you, share them beyond the providers in Schedule 1 or combine them with another advertiser's data. Meta bars selling enquiries, or using them beyond what the form offers without consent.

You must have your own privacy notice, and your Meta form must link to it. How you follow up an enquiry is your responsibility, including stopping when someone asks you to.

15. Ending this agreement

There's no minimum term. Either of us can end this agreement by giving 30 days' written notice. Either of us can end it straight away if the other seriously breaks these terms and doesn't put it right within 14 days of being asked. We can also end it straight away if the law or Meta's rules stop us doing the work.

If you remove our access during a notice period, we stop work, and the fee for that notice period is still due.

Within 7 working days of it ending, or of you asking, we'll remove our access and give you the ad files, wording, form settings and reports we hold for you. Within 30 days of it ending, we'll delete the enquiries and other personal data we hold for you, unless the law says we must keep them.

16. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.

Apart from that, our total liability to you in any 12 months is limited to the greater of £5,000 and the fees you paid us in those 12 months, including any lost profit or business. We're not liable for Meta's decisions, suspensions, outages or rule changes, unless we caused them by breaking these terms.

17. Complaints and everything else

Send any complaint to hello@tailliftmedia.com, and we'll answer as quickly as we can.

These terms and the details above are our whole agreement. Apart from fee notices, they can only be changed in writing agreed by both of us. Nobody else can enforce them. We may move this agreement to a new company of our owner's that runs no removals, on 30 days' notice, so you can end first. The law of England and Wales applies, and its courts decide any dispute.
